RESOLUTION 2010-4

A RESOLUTION ESTABLISHING

OFFICES AND SETTING TERM LIMITS

FOR OFFICERS

NOVEMBER 8, 2010

WHEREAS, there are currently two offices for the Washington Township Regional Sewer District (the “District”), namely:  President and Secretary-Treasurer; and

WHEREAS, there are times when it is necessary to have the signatures of two officers on legal documents; and

WHEREAS, the possibility exists that both officers would not be available at the same time to sign necessary documents due to illness, vacation, scheduling conflicts, or other reasons; and

WHEREAS, it is in the best interests of the District to create three offices, namely:  President, Secretary and Treasurer; and

WHEREAS, there are currently no limits on the number of consecutive terms an officer can serve in office and it is in the best interests of the District to impose such limits;

NOW, THEREFORE, BE IT RESOLVED by the governing body of the District as follows:

There shall hereafter be three offices of the District, namely:  President, Secretary and Treasurer, and any article, bylaw, policy or practice to the contrary is hereby repealed and amended accordingly.

An Officer’s term shall be three years or until a successor is selected and takes office. Notwithstanding the goal of limiting officer terms to three years, an Officer’s term begins:  (1) after the individual consents to being selected; and (2) immediately after being elected, designated or appointed.  An Officer’s term ends after: (1) a successor Officer consents to being elected, designated or approved as an Officer; and (2) immediately after a successor Officer’s election, designation or appointment.

EFFECTIVE DATE:  This resolution is effective January 1, 2011.
